Terms of Sale & Engagement

1. Governing Law & Jurisdiction

These Terms of Sale and any engagement or purchase executed hereunder are governed exclusively by Belgian law. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Brussels, Belgium. Where a client engages Synergy for a Readiness Assessment or Diagnostic, the "Consulting Services Addendum: Readiness Assessment & Diagnostic" is hereby explicitly incorporated by reference and shall govern the scope and liability of that specific engagement.

2. Digital Products: License & Usage Rights

Upon purchase of digital templates, registers, or maps (the "Digital Content"), Licensee is granted a non-exclusive, non-transferable, revocable license to use the Digital Content for internal business operations and as a foundational tool to generate bespoke deliverables for Licensee's direct clients. Licensee is strictly prohibited from reselling, sublicensing, distributing, or publishing the unaltered Digital Content, in whole or in substantial part, as a standalone product.

Reseller Carve-Out: Nothing in this clause supersedes or restricts the rights granted under a separate, formally executed White-Label Reseller Agreement, provided Licensee maintains an active subscription in good standing under those specific terms.

3. Digital Content Refund Waiver (Right of Withdrawal)

By accepting these terms at checkout, the buyer explicitly consents to the immediate supply of the Digital Content and acknowledges that they unconditionally lose their 14-day right of withdrawal (refund) once the download or access has begun, in accordance with applicable consumer protection laws regarding digital goods.

4. Digital Products: Update Scoping & Disclaimer

For a period of 12 months following purchase, Synergy will provide access to updated editions of the Digital Content strictly as they are commercially released. Synergy explicitly disclaims any duty to monitor regulatory developments on Licensee's behalf. Synergy does not warrant that the Digital Content will be updated in real-time. All updates are provided "as-is."

5. Regulatory Disclaimer & Limitation of Liability

All services, assessments, and Digital Content (including regulatory mappings such as ISO 27001 to the EU AI Act) are provided as analytical reference tools only. They do not constitute formal legal, regulatory, or compliance advice. Synergy is not a conformity assessment body. Final interpretation of regulatory frameworks remains the exclusive domain of the CJEU and relevant supervisory authorities. To the maximum extent permitted by law, Synergy assumes no liability for any commercial reliance on these materials or assessments. Synergy's total aggregate liability arising out of any purchase or engagement shall not exceed the total fees actually paid by the client for the specific item or service giving rise to the claim.
