Terms of Sale & Engagement

The engagement terms below apply to the EU AI Act Readiness Assessment. They sit under, and are governed by, the Terms of Sale & Engagement.

1. Scope

The assessment covers the AI systems declared by the client during intake. The deliverables are: system inventory, role and obligation map, risk classification, gap register, 90-day remediation roadmap and an executive readout. Systems added after intake are outside the fixed scope and are quoted separately.

2. Not included

Implementation, model development, legal advice, certification, notified-body engagement and ongoing monitoring are expressly excluded. The deliverable is an assessment, not a conformity declaration.

3. Price and payment

The fee is a flat [PRICE BAND — TBC], quoted in euro (EUR) by default; a US dollar (USD) figure is available on request and is indicative unless confirmed in the signed engagement. Amounts exclude any VAT or local indirect tax for which the client is liable. Invoiced 50 % at signature and 50 % on delivery of the board pack. Payment is due within [30] days of invoice date.

Delivery is remote. On-site attendance is not included; where the client requests it, travel and subsistence are billed at cost with prior written agreement.

4. Client obligations

The four-week timeline assumes: a nominated point of contact, access to the relevant system owners, and the evidence listed in the intake pack within five business days of kick-off. Delays in providing these shift the delivery date accordingly.

5. Cancellation

Either party may cancel in writing before kick-off at no charge. After kick-off, the first instalment is non-refundable and any work performed beyond it is billed pro rata at the day rate of [DAY RATE — TBC].

6. Confidentiality

Both parties treat the other's non-public information as confidential and use it only for the purposes of this engagement. A separate NDA can be put in place at the client's request before intake.

7. Deliverable use

The client owns the deliverables and may use them internally and with its own advisers. Synergy may not disclose them to third parties without written consent. Synergy may refer to the engagement in anonymised form only.

8. Governing law and jurisdiction

Belgian law governs these terms. The courts of Brussels have exclusive jurisdiction over any dispute arising out of or in connection with them. That jurisdiction is not varied by the client's own place of establishment, and no alternative forum is offered.

The client is responsible for determining whether the deliverables satisfy the requirements of its own jurisdiction. Synergy does not provide legal advice in any jurisdiction and nothing here constitutes a legal opinion.
