Consulting Services Addendum

This Addendum supplements, and is to be read together with, the engagement terms governing the Services. Where this Addendum conflicts with those terms on the matters it addresses, this Addendum prevails.

1. Nature of Services (Assessment, Not Certification)

Services provided under this Addendum, including but not limited to the Readiness Assessment and Diagnostic (the "Services"), are advisory and analytical in nature. Synergy is not a conformity assessment body, notified body, or regulatory authority. The Services do not constitute formal legal advice, regulatory certification, or a guarantee of compliance with the EU AI Act, ISO 27001, or any other standard.

2. Scope and Best-Effort Basis

All findings, gap analyses, and recommendations are provided on a "best-effort" basis reflecting Synergy's interpretation of current regulatory guidelines at the time of delivery. The Client acknowledges that regulatory interpretations (including those of the European Commission) are non-binding and subject to authoritative interpretation solely by the CJEU or competent national authorities. Synergy assumes no duty to monitor ongoing regulatory changes or update the assessment post-delivery.

3. Limitation of Liability (Capped at Fees Paid)

To the maximum extent permitted by applicable law, Synergy's total aggregate liability arising out of or related to this Addendum, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees actually paid by the Client to Synergy for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event. In no event shall Synergy be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, data, or regulatory fines incurred by the Client, even if Synergy has been advised of the possibility of such damages.
